The ZyloFuel portal (the "Portal"), available at cards.zylofuel.com, together with any subsidiary applications we make available now or in the future (including mobile and driver-facing applications) (collectively, the "Apps"), is operated by 18139326 Canada Corp., doing business as Zylo Fuel, of 6162 138 St, Surrey, BC V3X 3V6 ("ZyloFuel", "we", "us").
Scope. These Terms and Conditions govern your access to and use of the Portal and the Apps, and apply whenever you access or use them, regardless of the device or technology you use. The Portal is a software tool provided exclusively for customers of ZyloFuel who have been issued cards authorized under the ZyloFuel program, and their authorized users. Depending on your deal, the Portal may also provide access to funds products — including T-Chek, Comchek, money codes, and cash advances (together, "Funds Products"). By accessing or using the Portal, you accept these Terms and Conditions. If you do not accept them, do not use the Portal.
Other agreements. These Terms supplement the Customer Agreement and Program Terms and Conditions between ZyloFuel and your business, and any other written agreement you have with us. If there is a conflict, the Customer Agreement and Program Terms govern commercial matters (pricing, credit, payment, the cards program); these Terms govern use of the software.
1. The Portal is a self-directed tool
1.1 The Portal provides a self-directed fuel purchase management tool for your authorized personnel. You assume all responsibility for: the authorization and approval of fuel purchases; the inventory of your cards; the activation and deactivation of cards; the assignment of cards to drivers and vehicles; the setting of card limits; the secure maintenance of your card inventory; and, where enabled for your account, the issuing and use of Funds Products.
1.2 The secure use, storage, and inventory of fuel cards and their associated PINs is your sole and exclusive responsibility. This includes training your employees, drivers, and contractors to handle cards, PINs, and the Apps securely, and ensuring they comply with these Terms.
1.3 Actions taken in the Portal take effect as you direct them. We do not review, approve, or second-guess your card activations, limit changes, or user authorizations.
2. Accounts, users, and access levels
2.1 By designating a person as a user of your account, you authorize that person to view your business information and take actions on your behalf, up to the access level you assign. You are responsible for ensuring each user's access level is appropriate.
2.2 You are responsible for all losses that result from: any use of your cards, user IDs, or passwords by your users, with or without your specific authorization in a particular instance; any person your users allow to act with their credentials; and entry errors made by your users.
2.3 You must keep a valid email address and mobile phone number registered on your account so we can reach you by email and text message. Operational notices sent to your registered contacts are deemed received by you.
2.4 You must notify us immediately of any breach in the secure handling of your cards, PINs, or Portal access.
3. Passwords and credentials
3.1 Your passwords, PINs, and security answers are confidential and for your users alone. Do not disclose them to anyone. Choose passwords that cannot be easily guessed — do not use names, birth dates, phone numbers, card or account numbers, or passwords used on other services.
3.2 You are responsible for all losses resulting from use of your credentials — by your users or by any third party who obtained them — until you notify us of a compromise and we have had a reasonable opportunity to act. This includes access through any third-party service you allow to connect to your account.
3.3 Sign out of the Portal and the Apps when finished. Keep the devices you use to access the Portal protected with up-to-date security software. You are responsible for losses caused by malware, viruses, or attacks on your own devices.
4. Instructions and records
4.1 Every instruction given through the Portal or your registered contact channels — including card activations, deactivations, limit changes, user changes, and your electronic acceptance of agreements — is final, binding on you, and may be relied on by us as if given on signed paper.
4.2 We may keep records of your instructions, and record telephone calls, and you consent to this. Our records of your instructions are binding in any dispute, including legal proceedings, unless you provide clear proof that our records are wrong or incomplete.
4.3 We may decline to act on an instruction if we suspect it is not from you, is unclear, exceeds your limits, has not been properly authorized, or is for an illegal or improper purpose. We are not liable for declining an instruction in these circumstances.
4.4 Email is not secure. We are under no obligation to accept or act on instructions sent by email. If you send confidential information by email, we are not liable if it is lost, intercepted, altered, or misused.
5. Funds Products (T-Chek, Comchek, money codes, cash advances)
5.1 Where included in your deal, the Portal allows you to issue Funds Products — T-Chek, Comchek, money codes, and cash advances. Access to Funds Products is part of your specific deal and may be included, excluded, limited, or withdrawn per your account terms.
5.2 A money code is like cash. Once a Funds Product is issued through your account, you are liable for the full amount, whether it was used by the person you intended or by anyone else. Keeping codes secure — and controlling who in your business can issue them and who receives them — is your sole and exclusive responsibility.
5.3 Every Funds Product issued through your account, on your instructions or your users' instructions, is charged to your account like any other transaction and is payable under your account terms.
5.4 We may decline to issue a Funds Product if we suspect the instruction is not from you, is unclear, exceeds your limits, has not been properly authorized, or is for an illegal or improper purpose. We are not liable for declining in these circumstances.
5.5 Funds Products are processed by third-party networks and providers. Their availability is not guaranteed, and their rules, processing times, and fees (where applicable per your account terms) apply.
6. Data and reports
6.1 Transaction data displayed live in the Portal is for monitoring convenience. Settled transaction data is the authoritative record for billing, as set out in the Program Terms.
6.2 Merchant and network data can arrive incomplete, and we may filter or supplement data as needed to provide reporting. All reports, transaction details, and tax information in the Portal are for informational purposes only and must be reviewed and validated by you before you rely on them, including for tax and IFTA filings.
6.3 Account statements and standard reports are available in the Portal free of charge.
7. Availability and maintenance
7.1 We do not guarantee that the Portal, the Apps, alerts, or notifications will be available, uninterrupted, or error-free. We are not responsible for disruptions caused by conditions or technical issues beyond our immediate control, including card network outages, supplier system outages, internet and hosting failures.
7.2 The Portal, including card activation and deactivation functions, is updated frequently and may be unavailable during maintenance. We provide advance notice of scheduled maintenance. You cannot claim that a loss from fraud or card misuse occurred because the Portal was under maintenance; if you need to block a card while the Portal is unavailable, contact us through our support channels.
7.3 We may add, remove, or change any feature of the Portal at any time. Where a change materially reduces functionality, we will give notice where reasonably possible. Access to specific tools (including any of the Apps, any fuel advisory tools, and Funds Products) depends on your deal and may be included, excluded, limited, or withdrawn per your account terms.
8. Intellectual property
8.1 All information and tools provided through the Portal, and all software and systems used to provide the Portal and the Apps, are proprietary to ZyloFuel, its service providers, its information providers, and its other licensors, and are protected by intellectual property law. Nothing in these Terms or on the Portal grants you any right, title, or interest in any of it, or any license, whether by implication or otherwise — except the limited right to use the Portal for your own business purposes while your account is open.
8.2 You will not: copy, distribute, sell, or commercially exploit Portal content; modify, adapt, translate, reverse engineer, decompile, or disassemble any software or systems; create derivative works; or use robots, spiders, crawlers, data mining, or any automated tools to collect information from the Portal.
9. Privacy
9.1 We collect, use, and disclose information as described in our Privacy Policy at https://zylofuel.com/privacy. You consent to our sharing information with our affiliates, our service providers who operate and support the Portal on our behalf, our upstream program partners, the card network, transaction processors, fuel suppliers, and merchants, in connection with card transactions and related activities.
9.2 The Portal is operated with the support of third-party service providers who process customer and transaction data on our behalf. Information may be stored in Canada and/or the United States, and is subject to the laws of those jurisdictions while stored there.

10. Liability
10.1 To the maximum extent permitted by law, we are liable to you only where we — meaning ZyloFuel itself — cause you direct damages through our own gross negligence, our own fraud, or our own willful misconduct. In plain words: "gross negligence" means a very serious failure by us to take basic care, far beyond an ordinary mistake, error, or system fault; "fraud" and "willful misconduct" mean we deliberately deceived you or deliberately caused you harm. We are not liable for anything else — including ordinary mistakes, system errors, downtime, or the acts of card networks, fuel suppliers, station operators, or other third parties. We are also not liable for indirect, incidental, special, punitive, or consequential losses — including lost profits, lost loads, driver downtime, lost business opportunities, or inconvenience — arising from the Portal or its unavailability, even if we were advised such losses were possible.
10.2 Except where prohibited by law, you indemnify and hold harmless ZyloFuel and its directors, officers, employees, agents, and affiliates from all claims, losses, damages, and expenses (including legal fees) arising out of your use of the Portal or your breach of these Terms.
11. Suspension and withdrawal of access
11.1 We may suspend or withdraw your access to the Portal at any time, without notice, including: if a pre-authorized debit is returned by your financial institution; if you fail to meet the credit terms of your account; if you breach these Terms or the Customer Agreement; or if we suspect unauthorized or unlawful use.
11.2 We are not liable for any losses to your business resulting from suspension or withdrawal of access. These Terms continue to apply in respect of your past access after withdrawal.
12. Changes to these Terms
12.1 We may change these Terms at any time, including where required by law, regulation, or changes in our suppliers' or the card network's rules. We will notify you of changes by posting a notice on the Portal or by email. Continued use of the Portal or your cards after the effective date constitutes acceptance.
12.2 If you do not agree to a change, stop using the Portal and notify us before the effective date; your account will be closed under the Customer Agreement, with all cards returned or destroyed and all amounts owing paid.
13. General
13.1 Governing law: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada.
13.2 Severability: If any provision is found invalid, it is removed and the rest remains in force.
